Welcome to Nibblify Food Partner Program. Please read these Terms & Conditions carefully. By registering your restaurant and using the Nibblify Partner application, you agree to be bound by these terms. We have built our platform with transparency, fairness, and mutual success in mind.
1. Definitions & Interpretation
- "Partner" or "You": The restaurant, food business, or authorized representative using the Nibblify Partner app
- "Platform" or "Service": The Nibblify Partner mobile application and associated web services
- "Customer App": The Nibblify Food consumer-facing mobile application where end-users order food
- "Order": A food order placed by a customer through the Customer App for delivery or pickup from your restaurant
- "Commission": The percentage or fixed fee charged by Nibblify on completed orders
- "Subscription Plan": Your chosen tier (Starter, Growth, or Pro) which determines features, commission rates, and support level
2. Eligibility & Account Registration
2.1 Requirements
- You must be the legal owner or an authorized representative of the restaurant with full authority to enter into this agreement
- Your restaurant must hold all necessary licenses, permits, and health certifications required by local authorities
- You must be at least 18 years old and legally capable of entering into binding contracts
- You must provide accurate, current, and complete registration information including valid tax documentation
2.2 Account Security
- You are responsible for maintaining the confidentiality of your login credentials
- You must notify us immediately of any unauthorized access or security breach
- You are liable for all activities that occur under your account
- Our platform uses advanced encryption and security protocols, but you must also protect your device and account access
2.3 Verification Process
- All new partner accounts undergo a verification process that may take 1-3 business days
- We may request additional documentation to verify your business identity, location, and legal status
- Your account status will be "Pending Verification" until approved
- We reserve the right to reject applications that do not meet our quality or legal standards

3.1 Subscription Terms
- In-App Purchases: All paid subscriptions (Growth & Pro) are processed via Apple App Store or Google Play Store In-App Purchases
- Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period
- Billing Cycle: You will be charged through your Apple ID or Google Play account at confirmation of purchase
- Free Trial: Some plans may offer a free trial period. If not cancelled before the trial ends, you will be charged for the subscription
- Cancellation: You can cancel your subscription anytime through your Apple or Google account settings. Cancellation takes effect at the end of the current billing period
- Downgrades: If you downgrade to a lower plan, you will lose access to premium features but retain access to features available in your new plan
3.2 Commission Structure
- Commission Calculation: Commissions are calculated on the order subtotal (before delivery fees and taxes)
- Payment Due Status: If commission payments are overdue, your account status may change to "Payment Due" and orders may be paused until resolved
- Commission Rate Changes: Your commission rate is determined by your active subscription plan. Rates are locked for the duration of your billing period
- Payout Schedule: Earnings are typically paid out every 7 days, minus applicable commissions and fees
4. Order Management & Operations
4.1 Order Acceptance
- You have full control to accept or reject incoming orders
- Orders must be accepted or rejected within 5 minutes of receiving the notification
- Repeated rejections may negatively impact your visibility and ranking on the platform
- You can temporarily pause orders by enabling "Busy Mode" or setting your status to "Closed"
4.2 Food Preparation & Quality
- You are solely responsible for food preparation, quality, safety, and hygiene standards
- All food must comply with local health regulations and food safety laws
- You must accurately represent ingredients, allergens, and nutritional information in your menu
- Preparation times communicated to customers must be realistic and adhered to
4.3 Menu Management
- You are responsible for keeping your menu up-to-date with accurate prices, descriptions, and availability
- Menu items marked as "Sold Out" must be updated in real-time
- High-quality photos are encouraged; misleading images may result in customer complaints and account review
- Multilingual menu support is available; translations should be accurate
- Menu layout options include List, Grid, Big Card, and Compact views
4.4 Working Hours & Special Dates
- You must set and maintain accurate operating hours
- Special dates (holidays, events) can be configured with custom working hours
- The platform automatically handles timezone management
- You can temporarily pause orders without changing your working hours using the "Busy Mode" feature
5. Delivery & Driver Management
5.1 Delivery Options
- Self-Managed Delivery: You can manage your own delivery fleet using the driver management system
- Delivery Pricing: Choose from Fixed, Distance-based, or Tiered pricing models
- Delivery Zones: Define your maximum delivery distance and allowed cities/ZIP codes
- Free Delivery: Optionally offer free delivery for orders above a minimum value
5.2 Driver Verification
- All drivers must upload valid documents: driver's license, ID card, vehicle insurance
- Driver verification status: Pending Upload → Pending Review → Verified/Rejected
- You are responsible for verifying driver documents and ensuring they are current
- Drivers with expired documents will be automatically suspended until updated
- You must maintain accurate vehicle information (type, plate number, color, model)
5.3 Pickup Orders
- You can enable "Pickup" option for customers who prefer to collect orders themselves
- Set accurate preparation times for pickup orders
- Ensure orders are ready at the communicated pickup time
6. Marketing & Promotional Tools
6.1 Offers & Coupons (Growth & Pro Plans)
- Discount Types: Percentage, Fixed Amount, Free Delivery, Buy One Get One
- Target Audiences: All Users, New Users Only, VIP Users
- Offer Scope: Entire Order, Specific Items, Specific Categories
- Scheduling: Set start/end dates and active days of the week
- You are responsible for honoring all active promotions displayed on your restaurant page
6.2 Marketing Campaigns (Pro Plan Only)
- Send push notifications to customers who have ordered from your restaurant
- Campaign content must comply with our marketing guidelines (no spam, false claims, or offensive content)
- Excessive or abusive use of marketing tools may result in feature suspension
6.3 Custom Branding (Pro Plan Only)
- Customize your restaurant's theme colors and appearance in the customer app
- Upload high-quality cover images and gallery photos
- Receive a "Verified Badge" to enhance trust and credibility
7. Analytics & Reporting
- Daily Analytics: Track total sales, net sales, completed orders, cancelled orders, lost sales
- Hourly Insights: View sales and order volume by hour (heatmaps for Growth & Pro)
- Top-Selling Items: Identify your best-performing menu items
- Average Order Value & Rejection Rate: Monitor key performance indicators
- Date Range Analysis: Merge and compare data across multiple days (Growth & Pro)
- Analytics data is provided "as-is" and should be used for informational purposes to optimize your operations
8. Reviews & Customer Feedback
- Customers can leave reviews, ratings, and photos for completed orders
- Reviews are verified purchases and cannot be deleted, but you can respond to them
- Your overall rating and star distribution are publicly visible
- Responding to reviews professionally can improve customer perception and loyalty
- Fake reviews, review manipulation, or incentivized reviews are strictly prohibited and may result in account suspension
9. Content & Intellectual Property
9.1 Your Content
- You retain ownership of restaurant images, logos, menu photos, videos, and descriptions
- By uploading content, you grant Nibblify a worldwide, royalty-free license to display it on our customer-facing platforms
- You represent that you own or have necessary rights to all content you upload
- You are prohibited from uploading illegal, offensive, infringing, or misleading content
9.2 Platform Intellectual Property
- Nibblify retains all rights to the platform, app design, code, branding, and trademarks
- You may not reverse engineer, copy, or create derivative works of the platform
10. Account Suspension & Termination
10.1 Grounds for Suspension
We reserve the right to suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms & Conditions or any applicable laws
- Engage in fraudulent activities or provide false information
- Fail to maintain food quality, safety, or hygiene standards
- Receive excessive customer complaints or negative ratings
- Fail to pay applicable commissions or subscription fees (status: "Payment Due")
- Abuse platform features, including marketing tools or driver management
- Operate without valid licenses or permits
10.2 Account Status
- Pending Verification: New accounts under review
- Active: Full access to all features based on subscription
- Suspended: Temporary restriction due to policy violations; may be reinstated after resolution
- Rejected: Application denied due to failure to meet standards
- Payment Due: Overdue commission payments; orders may be paused
- Closed Permanently: Account terminated by partner or Nibblify
10.3 Voluntary Termination
- You may close your account at any time through Settings > Account > Delete Account
- Upon account closure, you will lose access to the platform immediately
- Pending payouts will be processed according to the regular payout schedule
- Subscription refunds (if any) are subject to Apple/Google refund policies
11. Liability & Disclaimers
11.1 Platform Availability
- The app is provided on an "AS IS" and "AS AVAILABLE" basis
- We do not guarantee uninterrupted or error-free service
- Scheduled maintenance and updates will be communicated in advance when possible
11.2 Limitation of Liability
- Nibblify is not liable for indirect, consequential, or punitive damages arising from your use of the platform
- You are solely responsible for food safety, quality, and compliance with health regulations
- We are not responsible for customer disputes, driver issues, or delivery delays caused by external factors
- Our total liability shall not exceed the commissions paid by you in the 12 months preceding the claim
11.3 Indemnification
You agree to indemnify and hold Nibblify harmless from any claims, damages, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Food safety incidents, health code violations, or allergic reactions
- Driver accidents or delivery issues caused by your negligence
- Intellectual property infringement or misuse of customer data
12. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of France
- Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Paris, France
- Arbitration: For disputes under €10,000, parties agree to attempt mediation before litigation
13. Changes to Terms
- We may update these Terms periodically to reflect changes in our services, technology, or legal requirements
- You will be notified of significant changes via email or in-app notification
- Your continued use of the platform after changes constitutes acceptance of the updated Terms
- If you do not agree with the updated Terms, you must stop using the service and close your account
